  1. Terminology. The following terminology applies to these Terms and Conditions and Privacy Policy, and any or all Agreements: “Client”, “Customer”, “You” and “Your” refers to you, the person accessing this website and accepting the Company’s terms and conditions. “The Company”, “Ourselves”, “We”, “Our” and “Us”, refers to our Company, DineAbiliti, Inc. “Party”, “Parties”, or “Us”, refers to both the Client and ourselves, or either the Client or ourselves. All terms refer to the offer, acceptance, and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, whether by formal meetings of a fixed duration, or any other means, for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services/products, in accordance with and subject to, prevailing law of Arizona. Any use of the above terminology or other words in the singular, plural, capitalization and/ or he/she or they, are taken as interchangeable and therefore as referring to same.
  2. Agreement. This Term of Use agreement (“the “Agreement”) specifies the Terms and Conditions for access to and use of DineAbiliti (the “Site”) and describe the terms and conditions applicable to your access of and use of the Site. This Agreement may be modified at any time by DineAbiliti, Inc. upon posting of the modified Agreement. Any such modifications shall be effective immediately. You can view the most recent version of these terms at any time at [T&C URL]. Each use by you shall constitute and be deemed your unconditional acceptance of this Agreement.
  3. Use of the Service. DineAbiliti provides information services in the form of accessibility-focused summaries of publicly available consumer reviews. Specifically, DineAbiliti collects and analyzes first-hand customer reviews posted on public websites, including but not limited to Yelp, Google, etc. Using a proprietary process that incorporates artificial intelligence language models, including OpenAI’s ChatGPT, DineAbiliti extracts, categorizes, and summarizes accessibility-relevant content. The resulting summaries are made publicly available at no cost via the website www.DineAbiliti.com.
    Currently, DineAbiliti sources and processes reviews exclusively from businesses located in the United States. Expansion to additional geographic markets throughout the United States is anticipated over time. At present, DineAbiliti’s accessibility summaries are limited to the following categories: Blind Friendly, Deaf Friendly, Wheelchair Friendly, and Dog (Service Animal) Friendly.
    1. Eligibility. You must be at least eighteen (18) years of age to access or use the Service. By using the Service, you represent and warrant that you are of legal age to form a binding contract with DineAbiliti and that you meet all eligibility requirements set forth in these Terms.
    2. Account Registration. Certain features of the Service may require account registration. If you choose to create an account, you agree to provide accurate, current, and complete information and to update such information promptly to maintain its accuracy and completeness. You are solely responsible for maintaining the confidentiality of your account credentials and for any and all activities that occur under your account.
    3. User Conduct. You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You shall not use the Service to upload, transmit, or distribute any content that is unlawful, fraudulent, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable; nor shall you introduce any viruses, worms, or other malicious code.   19. Severability. If any provision of this Agreement shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.
  20. Waiver. The failure of DineAbiliti to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. Any waiver of this Agreement by DineAbiliti must be in writing and signed by an authorized representative of DineAbiliti
  21. Termination. DineAbiliti, Inc. may terminate this Agreement at any time, with or without notice, for any reason.
  22. Relationship of the Parties. Nothing contained in this Agreement or your use of the Site shall be construed to constitute either party as a partner, joint venturer, employee or agent of the other party, nor shall either party hold itself out as such. Neither party has any right or authority to incur, assume or create, in writing or otherwise, any warranty, liability or other obligation of any kind, express or implied, in the name of or on behalf of the other party, it being intended by both parties that each shall remain independent contractors responsible for its own actions.

This Terms of Use constitutes the entire agreement between you and DineAbiliti and governs the terms and conditions of your use of the Site, and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and DineAbiliti with respect to this Site.
